Distance Sales Agreement

This Distance Sales Agreement ("Agreement") is entered into in accordance with the Turkish Consumer Protection Law No. 6502 ("Law No. 6502") and the Regulation on Distance Contracts (Mesafeli Sözleşmeler Yönetmeliği, published in Official Gazette No. 29188, 27.11.2014, as amended). It governs distance contracts concluded electronically between MITRAS — Global Digital Organization ("Seller") and the consumer ("Buyer").

1. Parties

Buyer The natural or legal person who places an order through mitras.org or other electronic channels operated by the Seller, as identified in the order confirmation.

2. Subject Matter

This Agreement sets forth the rights and obligations of the Parties regarding the sale and delivery of goods and services ordered remotely, including:

  • Digital products (downloadable software, templates, scripts, licenses);
  • Custom digital services (website development, mobile apps, AI automation, SEO);
  • Any other products or services offered through The Vault or direct engagement.

By completing a purchase, the Buyer acknowledges that they have read, understood, and accepted this Agreement, our Terms of Service, Privacy Policy, and Refund Policy.

3. Product and Service Information

Essential characteristics, total price (including taxes), payment method, delivery/performance terms, and Seller contact details are displayed on the product or service page prior to order confirmation. The order confirmation email serves as permanent proof of the contract and includes:

  • Product/service name and description;
  • Quantity and unit price;
  • Total amount payable;
  • Payment method and date;
  • Estimated delivery or performance timeline;
  • Buyer contact information.

4. Formation of Contract

Pursuant to Article 18 of the Regulation on Distance Contracts, the contract is formed when the Buyer completes the order process and the Seller sends order confirmation. Pre-contractual information required under Law No. 6502 is provided on the website and in the order flow before payment.

5. Price and Payment

  • Prices are listed in USD unless otherwise indicated. Applicable VAT or other taxes are shown at checkout where required.
  • Payment is collected via secure electronic payment systems (credit/debit card, PayPal, or equivalent).
  • The Seller is not responsible for currency conversion fees charged by the Buyer's bank or payment provider.
  • Promotional pricing is valid only for the stated period and conditions.

6. Delivery and Performance

6.1 Digital Products

Digital products are delivered electronically via download link, license key, or account access. Delivery typically occurs immediately upon successful payment confirmation, and in any event within 30 days as required under Article 11 of the Regulation on Distance Contracts, unless a different timeframe is expressly agreed.

6.2 Custom Services

Custom services are performed according to the agreed project scope and timeline communicated in the order confirmation or statement of work. Performance begins after payment and receipt of required client materials. Milestone updates are provided throughout the engagement.

7. Right of Withdrawal (Cayma Hakkı)

In accordance with Article 48 of Law No. 6502 and Articles 15–16 of the Regulation on Distance Contracts, the Buyer has the right to withdraw from the contract within 14 (fourteen) days without giving any reason and without incurring any penalty, except as provided below.

7.1 Withdrawal Period Calculation

  • Digital Products (tangible goods): 14 days from the date of physical delivery to the Buyer or a third party designated by the Buyer.
  • Digital Products (intangible / electronic delivery): 14 days from the date of contract formation, subject to exceptions in Section 7.3.
  • Custom Services: 14 days from the date of contract formation, provided performance has not begun with the Buyer's express prior consent.

7.2 Exercise of Withdrawal Right

To exercise the right of withdrawal, the Buyer must notify the Seller of their decision by an unequivocal statement before the expiry of the 14-day period. Notification may be sent via:

  • Email to legal@mitras.org or hello@mitras.org;
  • The sample withdrawal form in Appendix A below;
  • Any other clear written communication.

To meet the withdrawal deadline, it is sufficient that you send your communication before the 14-day period expires.

7.3 Exceptions to the Right of Withdrawal

Pursuant to Article 15 of the Regulation on Distance Contracts, the right of withdrawal does not apply to:

  • Article 15(1)(ğ): Contracts for the delivery of digital content not supplied on a tangible medium, where performance has begun with the consumer's express prior consent and acknowledgment that they thereby lose their right of withdrawal;
  • Article 15(1)(a): Goods or services prepared according to the consumer's personal needs or clearly personalized (bespoke custom development tailored to the Buyer's specifications);
  • Article 15(1)(c): Goods which are liable to deteriorate or expire rapidly;
  • Article 15(1)(e): Goods delivered in sealed packaging that are not suitable for return due to health protection or hygiene reasons if unsealed after delivery;
  • Services fully performed within the 14-day period with the Buyer's prior express consent.

For digital products delivered instantly, the Buyer will be required to check a box confirming express consent to immediate delivery and acknowledgment of withdrawal waiver before completing purchase, as required by Article 15(1)(ğ).

7.4 Effects of Withdrawal

If the Buyer withdraws from the contract, the Seller shall reimburse all payments received, including delivery costs (if any), without undue delay and in any event within 14 days from the day the Seller is informed of the Buyer's decision. Reimbursement will be made using the same payment method used for the original transaction, unless the Buyer expressly agrees otherwise. The Buyer shall not incur any fees as a result of such reimbursement.

If the Buyer requested commencement of services during the withdrawal period, they shall pay an amount proportional to services already performed up to the withdrawal notification date, calculated against the total contract price, in accordance with Article 16(2) of the Regulation.

8. Defective Performance and Legal Guarantees

Under Law No. 6502, the Seller is liable for defective goods and services. The Buyer may exercise statutory rights including repair, replacement, price reduction, or contract rescission within applicable limitation periods. For digital services, defects must be reported within 30 days of delivery. See our Refund Policy for operational procedures.

9. Complaints and Dispute Resolution

Buyers may submit complaints to legal@mitras.org. Under Law No. 6502, consumers may apply to Consumer Arbitration Committees (Tüketici Hakem Heyetleri) for disputes below the monetary threshold set annually by the Ministry of Trade, or to Consumer Courts (Tüketici Mahkemeleri) for disputes above that threshold. The applicable committee or court is determined by the Buyer's place of residence or where the transaction occurred.

10. Seller's Obligations

  • Provide accurate pre-contractual information as required by Law No. 6502;
  • Deliver products or perform services in conformity with the contract;
  • Process withdrawal requests and refunds within statutory timeframes;
  • Protect Buyer personal data per our Privacy Policy and KVKK;
  • Maintain accessible customer support channels.

11. Buyer's Obligations

  • Provide accurate order and contact information;
  • Review pre-contractual information before purchase;
  • Cooperate in delivery or project performance (timely feedback, materials);
  • Use digital products in compliance with license terms;
  • Not abuse withdrawal or refund rights in bad faith.

12. Force Majeure

Events beyond the Seller's reasonable control (natural disasters, government restrictions, infrastructure failures) may delay delivery. The Seller will notify the Buyer and work to fulfill the contract as soon as practicable. Extended force majeure exceeding 30 days entitles either party to cancel with refund of undelivered portions.

13. Governing Law and Jurisdiction

This Agreement is governed by the laws of the Republic of Turkey, particularly Law No. 6502 and the Regulation on Distance Contracts. Mandatory consumer protection provisions of the Buyer's country of residence apply where required by international law.

14. Amendments

This Agreement may be updated to reflect changes in legislation or business practices. The version in effect at the time of order confirmation applies to that transaction.
